PRIVACY, DATA SECURITY, AND NON-DISCLOSURE

ARTICLE 1: TRADE SECRETS AND INTELLECTUAL PROPERTY

1.1. Definition

All data sets, methodologies, visualizations, and related materials are the exclusive property of the Company and constitute Trade Secrets, and are protected under applicable trade secret and intellectual property laws in relevant jurisdictions.

1.2. Distribution Prohibition

User cannot resell, rent, or publicly display (social media, blogs, etc.) the reports or methodologies, without prior written authorization from the Company.

1.3. Anti-Competition

Usage of methodologies to develop a competing product is strictly prohibited.

1.4. Indemnity

Unauthorized disclosure may result in liability for damages based on fair market valuation, subject to arbitration or court determination under applicable law.

ARTICLE 2: GLOBAL DATA STANDARDS

2.1. Data Controller

Personal data is processed in accordance with applicable data protection and privacy laws, including UAE Federal PDPL (Law No. 45 of 2021), and, where applicable based on User location or data subject residency, other mandatory data protection laws such as GDPR, KVKK, and equivalent national regulations.

2.2. Processing Purpose

Data is processed for authentication, service delivery, cybersecurity, fraud prevention, regulatory compliance, and legal defense against payment disputes and chargebacks.

ARTICLE 3: LOGGING AND EVIDENCE AGREEMENT

3.1. Conclusive Evidence

System generated and timestamped user activity logs, access records, download logs, and IP address records constitute prima facie evidence in legal or arbitration proceedings, unless proven otherwise.

ARTICLE 4: JURISDICTION

4.1. Law

Any dispute shall be finally resolved by arbitration under the rules of the Dubai International Arbitration Centre (DIAC). The seat of arbitration shall be Dubai, United Arab Emirates. The language shall be English. The arbitration shall be conducted by one (1) arbitrator. The award shall be final and binding.

This Agreement shall be governed by the laws of the Emirate of Dubai and applicable federal laws of the United Arab Emirates.

4.2. Arbitration

Final resolution via DIAC Arbitration.

Any dispute shall be finally resolved by arbitration under the rules of the Dubai International Arbitration Centre (DIAC). The seat of arbitration shall be Dubai, United Arab Emirates. The language of arbitration shall be English. The arbitration shall be conducted by one (1) arbitrator. The arbitral award shall be final and binding.

4.3. Small Claims

The Dubai Small Claims Tribunal is exclusive for disputes under 10,000 USD.

The Dubai Small Claims Tribunal shall have exclusive jurisdiction for disputes under 10,000 USD where applicable.

4.4. Global Pursuit

The Company reserves the right to initiate legal proceedings in the User jurisdiction in cases involving intellectual property violations, fraud, or unpaid financial obligations.

ARTICLE 5: WEBSITE CONTENT LIABILITY

5.1. User-Controlled Content

All content published on User websites created under PellaNova or related services is under the sole control and responsibility of the User.

The Company does not verify, monitor, or assume responsibility for the legality, accuracy, intellectual property ownership, or regulatory compliance of such content.

5.2. Regulatory Compliance

The User is solely responsible for ensuring that the website complies with:

  • Consumer protection laws
  • Advertising laws
  • Data protection disclosure requirements
  • Cookie notice and tracking transparency obligations
  • Industry-specific regulatory requirements

The Company does not provide compliance auditing, legal review, or regulatory approval unless separately contracted in writing.
